Transformative Artificial Intelligence Reasoning Systems X LLP (“TarsX,” “we,” “our,” “us”),

1. ABOUT TARSX

TarsX is a Limited Liability Partnership registered in India, headquartered in Erode, Tamil

Nadu. TarsX designs, builds, deploys, and operates AI-powered business operations systems and

related solutions for businesses globally.

2. SERVICES

TarsX provides AI-powered business operations services including the design, deployment, and

ongoing management of AI systems that support client business processes. Specific service

engagements are governed by separate Master Services Agreements and Statements of Work

executed between TarsX and individual clients.

3. ACCEPTABLE USE

By using our services or website, you agree not to:

• Use the services for any unlawful purpose or in violation of applicable laws

• Attempt to gain unauthorized access to our systems or data

• Interfere with or disrupt the integrity or performance of our services

• Reverse engineer, decompile, or attempt to extract source code or underlying

methodology from our services or deliverables

• Use the services to transmit malware, spam, or other harmful content

• Use AI-generated outputs to train competing AI systems designed to replicate TarsX’s

methodology

• Misrepresent your identity or affiliation

• Engage in any activity that infringes third-party intellectual property rights

4. ACCOUNT REGISTRATION

If you create an account with TarsX, you agree to provide accurate and complete information

and to maintain the confidentiality of your account credentials. You are responsible for all

activities under your account.5. INTELLECTUAL PROPERTY

5.1 TarsX Intellectual Property. All content, methodologies, frameworks, software, and

materials on tarsx.ai and within our services are the exclusive property of TarsX or our

licensors. You may not copy, modify, distribute, or create derivative works without our express

written permission.

5.2 Client Intellectual Property. Engagement-specific intellectual property is governed by the

applicable Master Services Agreement and Statement of Work executed with each client.

5.3 User Submissions. Any feedback, suggestions, or content you submit to TarsX may be used

by us without restriction or obligation.

6. AI-POWERED SERVICES

TarsX’s services incorporate artificial intelligence systems from leading providers including

Anthropic, OpenAI, xAI, and others. You acknowledge that:

• AI-generated outputs may occasionally contain errors or unexpected results

• AI outputs are probabilistic and require reasonable judgment in use

• TarsX commits to identifying and correcting issues promptly when they arise

• You maintain decision-making authority over how AI outputs are used in your business

operations

• AI capabilities may evolve over time as underlying AI providers update their services

7. PRIVACY

Your use of our services is also governed by our Privacy Policy, available at

https://tarsx.ai/privacypolicy, which is incorporated into these Terms by reference.

8. FEES AND PAYMENT

Specific fees, billing cycles, and payment terms are addressed in the applicable Master Services

Agreement and Statement of Work executed with each client. For general website use, no fees

apply.

9. SERVICE AVAILABILITY

TarsX strives to maintain high service availability but does not guarantee uninterrupted access.

Services may be temporarily unavailable due to maintenance, third-party provider issues, or

other factors beyond our reasonable control.

10. DISCLAIMERS

THE SERVICES AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT

WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR

UNINTERRUPTED OPERATION. TARSX DOES NOT WARRANT THE ACCURACY OR

COMPLETENESS OF AI-GENERATED OUTPUTS OR ANY SPECIFIC BUSINESS OUTCOME.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TARSX’S TOTAL LIABILITY ARISING OUT

OF OR RELATING TO YOUR USE OF THE SERVICES OR WEBSITE SHALL NOT EXCEED THE

FEES PAID BY YOU TO TARSX IN THE SIX (6) MONTHS PRECEDING THE CLAIM. IN NO EVENT

SHALL TARSX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR

PUNITIVE DAMAGES.

For paid service engagements, the specific Master Services Agreement between TarsX and the

client governs liability terms.

12. INDEMNIFICATION

You agree to indemnify and hold harmless TarsX and its designated partners, employees, and

contractors from any third-party claims arising out of your use of the services, your violation of

these Terms, or your violation of any third-party rights.

13. TERMINATION

We may suspend or terminate your access to our website or services for violation of these

Terms or for any other reason at our discretion. Termination of paid service engagements is

governed by the applicable Master Services Agreement.

14. CHANGES TO TERMS

We may update these Terms from time to time. Material changes will be communicated

through our website. Continued use of our services after updates indicates acceptance of the

revised Terms. For clients with active Master Services Agreements, the Terms in effect at the

date of the Master Services Agreement govern the engagement unless the client consents to

updates.

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict

of laws provisions.

Any dispute arising out of or in connection with these Terms shall be referred to and finally

resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC)

in accordance with the SIAC Rules in force at the time of commencement. The seat of

arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator. The language of

arbitration shall be English. The arbitration may be conducted by video conference.

The arbitral award shall be final and binding and enforceable in accordance with the New York

Convention on the Recognition and Enforcement of Foreign Arbitral Awards.

16. GENERAL PROVISIONS

16.1 Entire Agreement. These Terms, together with our Privacy Policy and any applicable

Master Services Agreement, constitute the entire agreement between you and TarsX regarding

your use of our services.

16.2 Severability. If any provision of these Terms is held invalid or unenforceable, the

remaining provisions shall continue in full force.

16.3 No Waiver. No failure or delay by TarsX in exercising any right under these Terms shall

constitute a waiver of that right.

16.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our

assets.
